LICENCE AGREEMENT
between
The Licensee
and
Hughes Guides Limited
A single user licence permits the licence holder - the licensee - to access a single copy of the Product on a desktop PC, laptop, tablet, smart phone or similar device providing the licensee is the only person who will use the Product.
A multi user licence permits the licence holder - the licensee - to access the Product on a desktop PC, intranet, laptop, tablet, mobile phone or any other such device providing the licensee restricts the total number of individuals who may access the product to the number agreed with the Licensor. The Product licence is not sold on the basis of the total number of simultaneous users unless this is done with the prior written agreement of the Licensor.
The licensee may access the product one or more devices eg: desktop, tablet and smart phone and may store the product in the cache allocation for the product on the device.
It is hereby agreed as follows :-
- The Licensor hereby grants to The Licensee, a non-exclusive, non-transferable licence to use the Product at the Site in accordance with the terms and conditions of this Agreement.
- Where a single user licence has been purchased this Agreement permits the Licensee to use the Product for use by a single person, the Licensee, within the terms of this Agreement.
- Where a multi-user licence has been purchased this Agreement permits the Licensee to use the Product for use within the terms of this Agreement subject to the limitation on the total number of users (not the number who may use the product simultaneously) for which the licence was purchased or otherwise as agreed with the Licensor.
- The product may be installed on any electronic device providing access is limited at all times to the individual users for whom a licence has been purchased.
- Where the Product is supplied for evaluation purposes, The Licensee may install the Product for evaluation during the period agreed and may use the material in accordance with the terms and conditions of this Agreement and any other agreement entered into with the Licensor. At the end of the evaluation/trial period The Licensee will remove the Product from each computer on which it has been installed (including clearing the cache) unless otherwise agreed in writing by The Licensor or the appropriate licence fee is paid.
- This Agreement shall remain in force for 12 months from the Start Date or any lesser period negotiated and expire automatically thereafter, unless The Licensee has paid the Renewal Fee to The Licensor within 30 days of the renewal invoice.
- In the event of expiry of this Agreement the Licensee shall cease to have access to or any rights or licence in respect of the eGuide
- The Product is not sold to The Licensee who shall not acquire any right, title or interest in the Product or any part thereof or any update to the Product or part thereof.
- Crown Copyright material is reproduced with the permission of the Controller of Her Majesty's Stationery Office.
- The Licensee shall not sub-licence the Product to others and The Licensee warrants that access will not be given to the Product to any person other than those detailed in any separate agreement with the Licensor.
- The Licensee shall use the Product and shall take all reasonable steps to ensure that its employees and partners use the Product only for its own purposes, on the system and at the Site(s) for which the appropriate Licence Fee is paid by The Licensee.
- The Licensee, its employees or partners on its behalf, during the normal course of Licensee's business, and, where Licensee's business is the provision of library services, bona fide on-site users of those services, may for the purposes of research view the Product on screen and print extracts from the Product.
- In no circumstances without the express consent of The Licensor in writing may the Product or any part thereof be used in connection with any system of remote access, other than for purposes of e-mail or fax transmission.
- All extracts must clearly reproduce the copyright notice and credit the source.
- The Licensee shall not erase remove deface or cover any trademark, trade names, numbers, copyright or other proprietary notices, guarantee, designation of origin, means of identification, disclaimer or other statement used on any media containing the Product or used in relation to it, nor shall The Licensee authorise another person to do so.
- Except insofar as it is permitted by law, The Licensee shall not modify, reverse assemble, decompile or reverse engineer the Product or any part thereof, or permit any third party to do so.
- The Licensee shall not make any alterations, additions of amendments to the Product; combine the whole or any part of the Product with any other software, data or material or create derivative works from the whole or any part of the Product.
